1.9 “Source unity code” refers to source code for unit products and sublicensing platforms, with the exception of the under-authorized third-party proprietary code. The purpose of this BJUE is the licensing of assets by the licensee to end-users through the Unity Asset Store. The assets are licensed, not sold. 8.4 Customer compensation. The client undertakes to exempt UTECH and its related companies from all third-party claims, to compensate and defend them, defence costs (including reasonable legal fees), judgments, comparisons and other charges resulting from: (i) a violation or alleged or actual violation of trademarks, copyrights, patents or trade secrets that directly caused a violation or alleged or actual violation on the part of the securities (excluding claims relating to unity products or UTECH trademarks, or claims declared unscathed by UTECH in Section 8.3 [UTECH compensation]); (ii) alleged or effective violation of the data protection rights of CUSTOMER`s end users (unless such a violation of data protection rights was directly caused by Unity products, despite compliance with laws, regulations and Section 3.3 [consent to data collection and privacy policy obligations]) or for claims agreed by UTECH in Section 8.3 [UTECH compensation]; and (iii) any violation of the law or regulation by the customer (or one of its agents) against: (a) the client`s use of Unity products granted by UTECH under this contract, or (b) the creation, publication, marketing and dissemination of titles by the CLIENT. 2.11 Third-party partners. The parties recognize that client and its related companies may occasionally use third-party developers for the testing, development and operation (for online services) of certain titles (a set of “subcontracting services”) from time to time. The rights granted to customers and its affiliates in Sections 2.1 (Full Access Unity Source Code License) and 2.3 (Unity Object Code License) include the right to sublicensed these rights and licenses for unity products corresponding to their ordered third-party developers, only to allow these third-party developers to make subtraced services available to customers and its associated companies. CUSTOMER is responsible for ensuring that these third-party developers enter into an agreement to comply with the terms of this agreement. Such an agreement between the customer or one of its subsidiaries and any third-party developer provides, among other things, that the licenses, materials and rights applicable to the Unity products it grants are used exclusively by third-party developers for subcontractors and that all forms of performance of Unity products are returned to the customer or one of its related companies after the conclusion or other termination of these subcontractors. In addition, it is agreed and understood that all third-party developers who have not yet acquired Unity products for the development of their customers and/or the titles of their related companies must have Unity Pro licenses to contract services and are therefore required to either acquire Unity Pro licenses or (b) acquire or have customer transfers of Unity Pro licenses to customers through this section 2.11 .
